Z WebDev is a California-based freelance studio offering professional web design, web development, and related creative and digital services to individuals and businesses. Services offered include, but are not limited to:
- Custom website design and visual identity integration
- Front-end and back-end web development
- Website maintenance, updates, and support
- Landing pages, portfolios, and small business websites
- Related creative and digital consulting services
All services are provided on a freelance, project-by-project basis. The specific scope, deliverables, timeline, pricing, and terms of any individual engagement are governed exclusively by a separate, signed project agreement or contract entered into between Z WebDev and the client. These Terms do not constitute or replace such a project agreement.
Z WebDev reserves the right to modify, expand, or discontinue any service offering at any time without prior notice.
SECTION 03
WEBSITE USE & CONDUCT
Permitted Use
The Website is provided for lawful, informational purposes only. Permitted uses include:
- Reviewing information about Z WebDev’s services and portfolio
- Submitting project inquiries through the contact form
- General browsing of publicly available content
Prohibited Conduct
By using this Website, you agree that you will not, under any circumstances:

PROJECT INQUIRIES & COMMUNICATIONS
Submitting an inquiry, completing a contact form, or initiating any form of communication through the Website does not constitute the formation of a binding contract, agreement, or service relationship between you and Z WebDev.
No engagement is created until both parties have executed a written project agreement or contract. No attorney-client relationship, agency relationship, or ongoing service obligation is established by an inquiry or preliminary communication. |
Z WebDev reserves the right, in its sole and absolute discretion, to:
- Decline any project inquiry or proposal for any reason or no reason
- Decline to respond to inquiries that do not align with its current service offerings or capacity
- Withdraw from negotiations at any time prior to the execution of a written agreement
All preliminary communications, including emails, messages, and call notes, are exploratory in nature and do not create enforceable obligations on either party.
SECTION 05
INTELLECTUAL PROPERTY
Website Content
All content published on this Website — including but not limited to text, written copy, design layouts, graphics, logos, images, color schemes, and underlying code — is owned by or licensed to Z WebDev and is protected under applicable United States and international intellectual property laws. All rights are reserved.
No content from this Website may be reproduced, distributed, publicly displayed, republished, transmitted, modified, or used for commercial purposes without the prior express written permission of Z WebDev.
Client Project Deliverables
Upon receipt of full payment for a completed project, the client receives the intellectual property rights to the agreed-upon deliverables as expressly defined in the applicable project agreement. Rights not explicitly transferred in writing remain with Z WebDev.
Portfolio Rights
Z WebDev retains the right to display work completed for clients — including screenshots, descriptions, and links — in its professional portfolio, case studies, and marketing materials, unless the parties have agreed otherwise in writing within the applicable project agreement.

THIRD-PARTY LINKS & SERVICES
The Website may contain hyperlinks to third-party websites, platforms, tools, or services that are not owned or controlled by Z WebDev. These links are provided for informational convenience only and do not constitute an endorsement, sponsorship, or approval of the linked content, products, or services.

Where a client has paid nothing (e.g., a Website visitor with no active project agreement), Z WebDev’s maximum liability shall be limited to one hundred U.S. dollars ($100.00).
Some jurisdictions do not permit the exclusion or limitation of certain damages. To the extent such limitations are not permitted under applicable law, the above limitations may not apply to you. These Terms are governed by the laws of the State of California, which shall control in all respects.

INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Z WebDev — and its owner, employees, contractors, agents, affiliates, and successors — from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Jurisdiction & Venue
You hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of California for the resolution of any legal dispute arising from or relating to these Terms or your use of the Website. You waive any objection to the exercise of jurisdiction over you by such courts.
Informal Resolution
Before initiating any formal legal proceeding, both parties agree to make a good-faith effort to resolve any dispute informally. The party raising a dispute must provide the other party with written notice describing the nature of the dispute and the relief sought. The parties shall have thirty (30) days from the date of such notice to attempt informal resolution before pursuing formal legal action.
Nothing in this section shall prevent Z WebDev from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect its intellectual property or confidential information.

CHANGES TO THESE TERMS
Z WebDev reserves the right to revise, update, or modify these Terms at any time, at its sole discretion, without prior notice. When changes are made, the “Last Updated” date at the top of this document will be revised accordingly.
Your continued access to or use of the Website after any such modification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately discontinue use of the Website.
